Cutting-Edge Television Services
MobiTV, Inc.
Vice President & General Counsel.  At MobiTV, Andy was responsible for overseeing the legal affairs of the company, including the
structuring and negotiation of content license agreements with broadcast and cable television networks, major record labels, and
other prominent media companies.  In addition, Andy handled the negotiation of distribution agreements with wireless carriers, the
management of the company’s intellectual property portfolio, and was also responsible for advising the Board and senior
management on a wide range of corporate matters.
ReplayTV, Inc.
Vice President and General Counsel.  At Replay, Andy played a prominent role in negotiating strategic relationships with OEM partners
and structuring numerous technology and entertainment licensing deals.  In addition, Andy played a key role in completing the sale
of ReplayTV to Sonicblue, Inc.
WebTV Networks, Inc.
Chief legal counsel.  Responsible for managing the Company’s legal affairs, including negotiating technology licensing agreements,
interactive television agreements, and Internet advertising agreements.

Danger, Inc.
Vice President & General Counsel to the developer of the T-Mobile Sidekick (recently acquired by Microsoft).  In that role, Andy
negotiated a variety of strategic contracts, including agreements with wireless carriers and electronics manufacturers.  
Online Media
Egreetings Network, Inc.  
Vice President and General Counsel.   At Egreetings, Andy was instrumental in completing a number of content licensing
relationships with major entertainment and media companies.  Andy was also responsible for a variety of corporate, securities,
transactional and advisory activities, including management of the company's $66 million Initial Public Offering.
Music Industry
Andy has also held senior legal and business affairs positions at the RCA Records Label/BMG Entertainment,
Sony Music Entertainment Inc.
Andy holds a J.D. from the Northwestern University School of Law, where he was Note & Comment Editor of the Northwestern
University Law Review, and a B.A. from
Oberlin College, where he graduated Phi Beta Kappa and was a member of the Varsity
Basketball Team.
